These Terms of Service ("Terms") govern your access to and use of the Aether platform, API, dashboard, and related services (collectively, the "Service") provided by Aether HQ ("Aether", "we", "our", or "us").
By creating an account or accessing the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Service
Aether provides a unified REST API that enables you to publish, schedule, and manage content across social media platforms including Instagram, Facebook, TikTok, LinkedIn, YouTube, Threads, and Reddit. Access is provided via API keys and an optional web dashboard.
The Service is a developer tool. Features and platform availability may change as third-party social platforms update their own APIs and policies. We will provide reasonable notice of material service changes.
2. Accounts and Registration
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your API keys and dashboard credentials. You must notify us immediately at security@aetherhq.dev if you suspect unauthorized access to your account.
You may invite team members to your organization. You are responsible for all actions taken by team members under your account.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Violate the terms of service or usage policies of any connected social platform
- Post or schedule content that is illegal, harassing, defamatory, fraudulent, or infringes third-party intellectual property rights
- Send spam, unsolicited bulk messages, or artificially inflate engagement metrics
- Interfere with or disrupt the Service, its infrastructure, or other users
- Reverse engineer or attempt to extract the source code of the Service
- Circumvent rate limits, access controls, or any security measure of the Service
- Use the Service to build a product that competes directly with Aether without prior written consent
Violation of this section may result in immediate suspension or termination without refund.
4. API Usage and Rate Limits
Your subscription plan determines your API rate limits, connected account limits, and feature access. We reserve the right to throttle or suspend access if usage materially exceeds plan limits or degrades service quality for other customers.
You are responsible for securing your API keys. Keys may be rotated at any time through the dashboard. We are not liable for misuse of keys that you have disclosed.
5. Third-Party Platform Compliance
The Service interacts with social media platforms on your behalf. You are solely responsible for ensuring that your use of each platform through our API complies with that platform's terms of service, developer policies, and content guidelines. Aether is not responsible for actions taken by social platforms against your accounts, including suspension or data access revocation.
6. Payment and Billing
Paid plans are billed on a monthly or annual basis via Stripe. All fees are in US dollars and are non-refundable except where required by law or at our sole discretion in the case of billing errors. Downgrading or canceling a plan takes effect at the end of the current billing period.
If a payment fails we will attempt to retry for up to 7 days. After that, access may be restricted to the Free plan until payment is resolved. We reserve the right to change pricing with at least 30 days' notice.
7. Intellectual Property
The Service, including its software, design, and documentation, is owned by Aether and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain all rights to content you create and publish through the Service. By using the Service you grant us a limited license to process and transmit your content solely to deliver the Service.
8. Data and Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. For customers who require a Data Processing Agreement (DPA) for GDPR compliance, please contact us at privacy@aetherhq.dev.
9. Confidentiality
Each party agrees to keep confidential the other party's non-public information that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected.
Social platform APIs are outside our control. We make no guarantee regarding their uptime, data accuracy, or continued availability.
11. Limitation of Liability
To the maximum extent permitted by law, Aether and its officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising from your use of or inability to use the Service, even if advised of the possibility of such damages.
Our total aggregate liability for any claims under these Terms will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD.
12. Indemnification
You agree to indemnify and hold harmless Aether, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or any third-party rights.
13. Termination
Either party may terminate these Terms at any time. You may close your account through the dashboard settings. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the integrity of the Service.
Upon termination, your access to the Service ends. Sections covering intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved by binding arbitration under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and close your account.
16. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aether regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger or acquisition.
